Board of Directors

The Council is the University's top governing body, responsible for its strategic direction.

The Board of Directors is responsible for the administration and management of corporate affairs and decides on all matters concerning the ULE, within the framework of the corporate purpose, except for those matters which by law or the present articles of association fall under the exclusive competence of the General Assembly of Members.

Terms of references

  • Administers and supervises the operation and activities of the ULE and formulates its strategy
  • Represents the ULE before any third party and any domestic or foreign Authority, Public, Administrative, Municipal, Judicial, or Consular and before any Court of any degree and jurisdiction and judicial or administrative committee with all the capacities of litigants
  • Convenes regular and extraordinary Assemblies of members and takes appropriate measures for the execution of its decisions,
  • Prepares the balance sheet of the ULE, which it submits for approval to the General Assembly of Members at the end of each fiscal year and maintains the required books,
  • Prepares and submits annually for approval to the General Assembly of Members a financial and administrative report, the budget as well as a Strategic Action Plan,
  • Prepares and submits for approval to the General Assembly of Members the Institutional Regulatory Arrangements of the ULE and any necessary amendments or additions to it,
  • Administers and manages the property (real estate - movable assets and liquid reserves) of the ULE, proceeds with the purchase or sale of any assets on behalf of the ULE, determining their use for the fulfillment of its statutory purposes and decides on the acceptance by the ULE of grants, donations and any kind of financial support from any third party, (h) appoints attorneys and legal advisors of the ULE for the pursuit or defense in court or out of court of all kinds of rights and claims of the ULE,
  • Establishes any contract of the ULE with the State, national and international organisations and with any domestic or foreign legal entity of the public, private and voluntary sector as well as with any domestic or foreign natural person,
  • Decides on the participation of the ULE in all kinds of European or other programs that contribute to the achievement of its purposes,
    • Decides on the participation of the ULE in local, regional, national or international networks of entities active in fields related to its purposes,
    • Draws up project contracts, independent service contracts and employment contracts (fixed-term and indefinite) with executives, associates or correspondents of the ULE and determines the terms of the contracts (particularly in relation to the duration of contracts, duties, remuneration and participation of associates in the activities of the ULE) based on current legislation and with a view to promoting the statutory purposes of the ULE
    • Prepares the "Institutional Regulatory Arrangements," which is submitted for approval to the Assembly of members and which must include at least the elements referred to in paragraph 2 of Article 151 of Law 5094/2024
  • Promotes a culture that supports inclusion and diversity throughout the foundation.
  • Maintains and protects the principles of academic freedom and legislation on freedom of speech.

Membership

It consists of three to nine (3-9) members. The number of members of the board of directors is decided each time by the general assembly of members of the ULE that elects the new board of directors. Only a natural person can be a member of the board of directors.
